1. Acceptance of Terms
These Global Terms of Service ("Terms") govern your access to and use of the website, applications, and services (collectively, the "Platform") operated by Bauter Global Ltd, a company registered in England and Wales under company number 17294353, with its registered office at 27 Old Gloucester St, London, United Kingdom, WC1N 3AX ("Bauter Global," "we," "us"). By accessing or using the Platform, submitting a form, or otherwise interacting with our services, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
2. Description of Service
Bauter Global operates solely as a digital IT infrastructure and marketing/lead-routing intermediary. We connect individuals who submit enquiries through our forms with independent, licensed third-party professionals — including private clinics, veterinary practices, and law firms ("Partners") — operating in the United Kingdom, the European Union (including Poland), the United States, and Australia. We facilitate the introduction only. We are not a party to, and have no involvement in, any subsequent engagement, treatment, representation, consultation, or transaction between you and a Partner.
3. Eligibility
You must be at least 18 years old, and legally capable of entering into a binding contract in your jurisdiction, to use the Platform. By using the Platform, you represent and warrant that you meet these requirements and that all information you submit is accurate and provided with your own consent.
4. No Medical or Legal Advice — Critical Disclaimer
BAUTER GLOBAL LTD IS AN IT PLATFORM AND MARKETING INTERMEDIARY. WE ARE NOT A HEALTHCARE PROVIDER, MEDICAL PRACTICE, VETERINARY PRACTICE, LAW FIRM, OR LICENSED PROFESSIONAL OF ANY KIND. Nothing on the Platform, and nothing communicated by our staff or systems, constitutes medical advice, veterinary advice, legal advice, diagnosis, treatment, or professional representation of any kind. We do not review, verify, endorse, or guarantee the accuracy of any enquiry, nor the qualifications, competence, licensing status, or conduct of any Partner, beyond such basic verification steps as we may, at our discretion, choose to undertake.
Any decision to engage a Partner, and any services subsequently provided, are matters solely between you and that Partner. Any services booked through, or professionals contacted via, our Partners are subject entirely to that Partner's own terms of business, professional obligations, and medical or legal liability. You should independently verify the credentials, licensing, and suitability of any Partner before engaging their services, and seek independent professional advice as appropriate.
If you are experiencing a medical emergency, contact emergency services immediately. Do not use the Platform for urgent medical, veterinary, or legal matters.
5. Relationship with Partners
Partners are independent third parties and are not our employees, agents, joint venturers, or legal representatives, and we are not theirs. We do not control, direct, or supervise the professional services Partners provide. We make no representation that any Partner is appropriately licensed, insured, or in good standing in their jurisdiction, and it is your responsibility to verify this before proceeding.
6. User Obligations
You agree to: (a) provide accurate, current, and complete information when using the Platform; (b) use the Platform only for lawful purposes; (c) not submit another person's personal information without their consent; (d) not attempt to interfere with, disrupt, or reverse-engineer the Platform; and (e) not use the Platform to submit fraudulent, abusive, or spam enquiries.
7. Intellectual Property
All content, trademarks, logos, software, and technology comprising the Platform are owned by or licensed to Bauter Global and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose. No other rights are granted.
8. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT, MATCHING, AND ROUTING SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT WARRANT THE QUALITY, SAFETY, LEGALITY, OR SUITABILITY OF ANY PARTNER OR ANY SERVICE PROVIDED BY A PARTNER.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- IN NO EVENT SHALL BAUTER GLOBAL LTD, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, OR FOR ANY PERSONAL INJURY, PROPERTY DAMAGE, MEDICAL OUTCOME, LEGAL OUTCOME, OR OTHER HARM ARISING FROM OR RELATED TO YOUR ENGAGEMENT WITH ANY PARTNER, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES;
- BAUTER GLOBAL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO BAUTER GLOBAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED POUNDS STERLING (£100), OR ITS EQUIVALENT IN LOCAL CURRENCY;
- WE EXPRESSLY DISCLAIM ANY LIABILITY FOR THE ACTS, OMISSIONS, NEGLIGENCE, MALPRACTICE, OR MISCONDUCT OF ANY PARTNER, INCLUDING ANY MEDICAL, VETERINARY, OR LEGAL SERVICES PROVIDED BY A PARTNER;
- NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED AS A MATTER OF APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR OWN NEGLIGENCE, FRAUD, OR FRAUDULENT MISREPRESENTATION.
10. Indemnification
You agree to indemnify, defend, and hold harmless Bauter Global Ltd and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your use of the Platform; (b) your engagement with any Partner; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party right.
11. Governing Law
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles, save as expressly modified for US users in Section 12 below.
12. Binding Arbitration and Class Action Waiver (US Users)
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
12.1 Agreement to Arbitrate
If you are a resident of the United States, you and Bauter Global agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your relationship with Bauter Global (collectively, "Disputes") shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring an individual claim in small claims court, or seek injunctive relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
12.2 Class Action and Jury Trial Waiver
YOU AND BAUTER GLOBAL EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION. Disputes must be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
12.3 Arbitration Procedure and Governing Substantive Law
Arbitration shall be conducted on an individual basis. The substantive law of England and Wales shall govern the interpretation of these Terms and the merits of any Dispute, without prejudice to any mandatory consumer protections of the arbitrating party's state of residence that cannot be waived by agreement. The seat, procedural rules, and administering body for any arbitration involving a US resident shall be specified in the Partner/User Agreement provided at sign-up; where none is specified, arbitration shall proceed under the rules of a recognised international arbitration body agreed by the parties, or failing agreement, appointed by a court of competent jurisdiction.
12.4 Opt-Out Right
You may opt out of this arbitration agreement by submitting written notice via the contact form below within thirty (30) days of first accepting these Terms, stating your name and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor Bauter Global will be required to arbitrate, and the class action waiver in Section 12.2 will not apply to you to the extent prohibited by applicable law.
12.5 Severability and Non-Waivable Rights
If any part of this arbitration agreement is found unenforceable or if a claim cannot lawfully be subject to mandatory arbitration under applicable federal or state law (for example, certain sexual assault or sexual harassment disputes under US federal law), that specific claim or part shall be severed and resolved in a court of competent jurisdiction, while the remainder of this Section 12, including the class action waiver, shall remain in full force to the maximum extent permitted by law.
13. Termination
We may suspend or terminate your access to the Platform at any time, with or without notice, for any conduct we believe violates these Terms or is harmful to other users, Partners, or us.
14. Miscellaneous
- Severability: if any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Entire Agreement: these Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Bauter Global regarding the Platform.
- No Waiver: our failure to enforce any right or provision will not be deemed a waiver of such right or provision.
- Force Majeure: we are not liable for any failure or delay resulting from causes beyond our reasonable control.
